By accessing any part of the Website or by placing any purchase orders using the Website, you are agreeing to the terms and conditions described below (the “Terms and Conditions”) AND THE TERMS AND CONDITIONS OF OUR PRIVACY NOTICE (the “Privacy Notice”), WHICH ARE INCORPORATED HEREIN BY REFERENCE. Only upon acceptance of the terms contained herein, will you be entitled to submit electronic orders. Any violation of the terms will result in termination of your account. Account Terms

By registering with the Website you can access or view the prices, product inventories, and submit purchase orders electronically. The security and confidentiality of your Account username and password is your sole responsibility. Payment

You agree to pay the full price for all Products you purchase from the Website. We reserve the right to charge extra charges for your credit card or other payment method for any products purchased from the Website, the degree to which it may be required or permitted by law in connection with a particular transaction. You are responsible for the timely payment of all fees and for providing us with a valid credit card or other account details for payment of all fees.

Errors and Inaccuracies

Although we try to maintain accurate and current information on our site, mistakes do happen. EasyStandard may have errors related to products' pricing and availability. We reserve the right to correct these errors, even after an order has been submitted. We will however, contact you before making any changes to your order. We apologize for any inconvenience this may cause.

In addition to uses otherwise prohibited by EasyStandard, these Terms and Conditions or applicable law, you shall not, and you shall not allow any third party to, do any of the following:

Download, access, use or register for the Website if you are under eighteen (18) years old.

• Use the Website other than as permitted by these Terms and Conditions and that you will not use the Website in a manner inconsistent with the original intent of its design.

Access to the Website may include hardware, software, and other proprietary materials from EasyStandard’s third party suppliers (including, but not limited to, Shopify) that are subject to license rights, terms and restrictions (collectively, “Third-Party Licenses”). In such event, your rights to the Website are expressly subordinate and subject to the Third-Party Licenses and you must comply with Third-Party Licenses. If EasyStandard’s rights provided by a third-party supplier are limited, suspended or terminated for any reason, your rights shall also be so limited, suspended or terminated. Indemnification

Liability

Force Majeure

EasyStandard shall not be responsible for delays or failures of performance resulting from acts beyond its reasonable control. Such acts shall include, but are not limited to, acts of God, strikes, public internet and private internet connection failures, third party service providers, lockouts, riots, acts of war, acts of terror, epidemics, government regulations, fire, communication line failures, power failures, earthquakes and other disasters.

You agree that EasyStandard may collect, process, transfer, use and disclose your information in accordance with EasyStandard’s Privacy Notice which is incorporated herein by reference and deemed a part hereof.

Assignment

You may not assign or transfer these Terms and Conditions, or any of your rights or obligations hereunder, without the prior written consent of EasyStandard, and any attempted assignment or transfer without EasyStandard’s prior written consent shall be null and void. EasyStandard may assign these Terms and Conditions to an affiliate or the surviving entity or its successor in the event of its merger or the sale of all or substantially all of its assets. All of the terms and provisions of these Terms and Conditions shall be binding upon and shall inure to the benefit of the parties hereto and their respective personal representatives, estates, heirs, successors and permitted assigns.

Governing Law

These Terms and Conditions shall be governed by, construed and enforced according to the laws of the State of Delaware, without regard to its conflict or choice of law principles. Any action arising out of or relating to these Terms and Conditions shall be brought only in the state or federal courts located in the State of Delaware.
